NAPAN State Conference
BYLAWS OF THE NEBRASKA ASSOCIATION OF
Reviewed August. 2018
SECTION 1.1 NAME: The name of this organization shall be the Nebraska Association of Perianesthesia Nurses hereafter referred to as NAPAN.† NAPAN shall be a component of the American Society of Perianesthesia Nurses (ASPAN).† Hereafter NAPAN is referred to as the Association.

SECTION 2.1 MISSION STATEMENT.† NAPAN exists as a component of ASPAN to advance nursing practice through education, research, and standards.
SECTION 3.1 GENERAL. Membership in this organization shall include belonging to ASPAN and NAPAN and shall be a privilege contingent upon compliance with the requirements of these Bylaws and with other requirements as the Executive Committee may establish.
SECTION 3.2 CLASSES.† NAPAN shall have the following classes of members: Active, Student, Affiliate, Honorary, and Retired..
SECTION 3.2.1 ACTIVE.† Active members shall be those duly licensed
nurses who currently practice in good standing, at least part-time, in perianesthesia
nursing, or in the management, teaching or research of perianesthesia nursing.
SECTION 3.2.2 STUDENT. Student members shall be individuals
pursuing education leading to eligibility to sit for the registered nurse
SECTION 3.2.3 AFFILIATE. Associate members shall be persons in
related fields who are interested in the care of patients in the perianesthesia specialty.
SECTION 3.2.4 HONORARY. Honorary members shall be those persons
††††††††††† who have rendered distinguished or valuable service to perianesthesia nursing
††††††††††† and have been selected honorary members by the Executive Committee.
†††††††††††††††† SECTION 3.2.5† RETIRED.††††††††††††† Retired members shall be members in good standing who,
†††††††††††††††† immediately prior to retirement or permanent disability, were active members.
SECTION 3.3 REPRESENTATION. Active members in good standing, shall have the right to vote on matters submitted to a vote of the general membership.† Active members in good standing may hold an office, serve on, or chair a NAPAN committee.
SECTION 3.4 BENEFITS. Members in good standing shall receive all official ASPAN/NAPAN publications and notices as well as other benefits determined by the Executive committee.
SECTION 3.5 APPLICATION AND DUES ASSESSMENT.†
†††††††††††††††† SECTION 3.5.1 APPLICATION.†† Any person desiring membership in ASPAN/NAPAN
†††††††††††††††† shall submit an electronic membership application to ASPAN.
SECTION 3.5.2 DUES ASSESSMENT. All members of ASPAN/NAPAN, except
for Honorary Members, shall be assessed dues. Members are delinquent if their dues
are not received by ASPAN within Sixty (60) days of the due date.† After that point membership shall be terminated.
SECTION 3.6 TERMINATION. Members who do not adhere to NAPAN's Bylaws and Policies may
†have their membership terminated by the Executive Committee after following due process.
MEETINGS OF MEMBERS
SECTION 4.1 ANNUAL MEETING. NAPAN shall hold an Annual Conference and a
Annual Members' Business Meeting and the time and place shall be determined by the Executive Committee.
SECTION 4.2 SPECIAL MEETINGS. Meetings may be called at any time by a majority vote of the Executive Committee or upon written request of 20% of the active members.
SECTION 4.3 QUORUM. Presence of at least one-tenth of the voting membership shall constitute a quorum.
SECTION 5.1 POWERS. The Executive Committee shall manage the affairs of this Association.
SECTION 5.2 COMPOSITION. The Executive Committee shall consist of the President, Vice-President/President Elect, Immediate Past President, Secretary, Treasurer, and three Members-At-Large.
SECTION 5.3 OFFICERS. All officers shall be elected by a vote of the general membership.† The qualifications, responsibilities, and terms of the officers shall be defined in Policy and Procedure.
SECTION 5.4 ELIGIBILITY. Each officer shall have had two years of active membership in NAPAN
and two years of perianesthesia practice experience.
SECTION 5.5 TERMS OF OFFICE.† Any member of the Executive Committee, other than the President, The Vice President/President Elect, and Immediate Past President may succeed herself/himself but only for one immediately successive term in the same position except with Executive Committee approval.† Any person filling an unexpired term for more than half the term shall be deemed to have served one term.
SECTION 5.6 VACANCIES. Any vacancy of an Executive Committee Member may be filled by the Executive Committee for the remaining term, with the exception of the President which is automatically filled by the President Elect and immediate Past President which will remain vacant until the next term of office.† In the event of a vacancy in the office of the Vice-President/President Elect a special election may be called.
SECTION 5.7 REMOVAL OF EXECUTIVE COMMITTEE MEMBER. Any official of the Executive Committee, regardless of the manner of election or appointment, may be removed by the Executive Committee upon a two-thirds (2/3) affirmative vote for such removal, when in its judgment the best interests of NAPAN would be served thereby.† Such action shall provide that the official upon request has an opportunity for due process as described in Robertís rules of Order Newly Revised.
SECTION 5.8 COMPENSATION.† Officers shall serve in a voluntary capacity, but may be reimbursed for reasonable expenses as set forth in Policy and Procedure.
SECTION 5.9 EXECUTIVE COMMITTEE MEETINGS. The Executive Committee will meet within thirty days of the annual members meeting.† The Executive Committee shall meet a minimum of four times per year for the purpose of managing the affairs of NAPAN.
SECTION 5.9.1 SPECIAL MEETINGS.† A special meeting of the Executive Committee may be called by the President or a majority of the Executive Committee.
SECTION 5.9.2 QUORUM. A majority of the Executive Committee shall constitute a quorum for the transaction of business.
SECTION 5.9.3 TELEPHONE MEETINGS.† An Executive Committee meeting may be held by means of telecommunication where all officers participating are able to hear each other. Notice of the meeting may be given by telephone at least two days prior to the meeting. Voting of the Executive Committee may be conducted by mail or via telecommunication.
SECTION 6.1 COMMITTEES. The committees of the Association shall be appointed annually by the President and approved by the Executive Committee. The purpose and duties of each of these committees shall be listed in Policy and Procedures.
SECTION 6.1.1 STANDING COMMITTEES.† The standing committees of the Association shall be:† Bylaws, Education, Finance, Government Affairs, Membership, Nomination, Policy and Procedure, Publication.
SECTION 6.1.2 OTHER SPECIAL COMMITTEES.† Special ad hoc committees may be appointed by the President and or at the request of the Executive Committee.† These committees cease to exist when the purpose for which they were created is resolved.
SECTION 7.1 REGISTERED OFFICE.† The Association shall maintain a registered agent with an office in the State of Nebraska. The name of the registered agent and office is Robert Kmieck,† Attorney, 1299 Farnam St. Suite 1500 ,Omaha, NE. 68102, of Stinson, Mag, and Fizzell Law Offices.
SECTION 7.2 SEAL.† NAPAN shall have an official seal which shall be in such form as approved by the Executive Committee, but shall in any event contain the words "Nebraska Association of Perianesthesia Nurses."† The seal shall be in the custody of the Secretary.
SECTION 7.3 FISCAL YEAR. The fiscal year for the Association shall be from July 1-June 30.
SECTION 7.4 EXPENDITURES. All expenditures shall be in accord with Policy and Procedures.† NAPAN books will be closed and audited at the end of the fiscal year by at least two members of the Finance Committee or an official auditor.† A report will be submitted to the Executive Committee at itís meeting prior to the Annual Members Business Meeting.† The Treasurer shall authorize a written report to be provided at the Annual members Business Meeting.
SECTION 7.5 RECORDS. The secretary shall have the responsibility to maintain all records of NAPAN except financial records.† These records shall be maintained at the Registered Office.
SECTION 7.6 PARLIAMENTARY AUTHORITY.† Robert's Rules of Order Newly Revised shall be the parliamentary authority used to govern this Association to which they are applicable and in which they are not inconsistent with these bylaws and any special rules of order the Association may adopt.
SECTION 8.1 PROCEDURE.† These Bylaws may be altered, amended or repealed and new Bylaws may be adopted by a majority vote of the Executive Committee provided that written notice of the intention to alter, amend or repeal the Bylaws shall be sent to each Executive Committee member at least ten days prior to the day of presentation to the Executive Committee.
SECTION 9.1 PROHIBITED ACTIVITIES.† No member of this Association shall take any action or
carry on any activity by or on behalf of this Association which is not permitted.
